【大手金融機関】スペシャルティファイナンス部　M&A関連ファイナンス担当

【業務内容】
案件発掘からリサーチ、モデル分析、取引先との条件交渉と審査セクションとの協議、稟議書作成、弁護士との契約書作成、融資実行、モニタリング等、案件全体の一連の実務をご担当いただきます。

【部店概要】
スペシャルティファイナンス部は、M&A関連ファイナンスと船舶・航空機ファイナンスの2つのプロダクトラインを有しており、部員は総勢約45名で船舶・航空機チーム約20名、M&A関連ファイナンスチーム約10名、ミドルバック他約15名で構成されております。

今般募集する「M&A関連ファイナンス担当」の業務内容としては、主にはプライベートエクイティファンドが、企業買収時（大手企業からのカーブアウト案件、事業承継案件等）に調達するLBOファイナンスの検討及び提供が主業務となります。主な取引先は、日本国内の企業に対して投資活動をする国内外のプライベートエクイティファンドとなります。

なお、親密な関係にあるプライベートエクイティファンドに対し、個別にLP出資を行なっており、出資先ファンドの運用状況のモニタリング等の実務も担当することとなります。

[Business content]
You will be in charge of a series of practical operations for the entire project, including project discovery, research, model analysis, negotiation of conditions with business partners, discussion with the screening section, preparation of approval documents, drafting of contracts with lawyers, execution of loans, and monitoring.

[Department and branch overview]
The Specialty Finance Department has two product lines: M&A-related finance and ship/aircraft finance. The department has a total of about 45 people, including a ship/aircraft team of about 20, an M&A-related finance team of about 10, middle backs, and others. It consists of about 15 people.

The job description of the "M&A-related finance manager" to be recruited this time is mainly to consider and provide LBO finance procured by private equity funds at the time of corporate acquisitions (carve-out projects from major companies, business succession projects, etc.). It will be your main business. Our main clients are domestic and foreign private equity funds that invest in companies in Japan.

In addition, we have made individual LP investments in private equity funds with which we have a close relationship, and will be in charge of practical work such as monitoring the investment status of the funds.

・More than 3 years of experience in corporate finance related business
